Terms of Service

These Terms of Service ("Terms") govern access to and use of Pazi, including its websites, applications, AI agents, connected services, business workspaces, and advertising features (collectively, the "Service"). The Service is operated by Pythagora Technologies Incorporated ("Pythagora," "Pazi," "we," "our," or "us").

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you use Pazi for a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. Eligibility and Accounts

To create a Pazi account, you must be at least 18 years old.

You must provide accurate account information, keep it current, protect your login credentials, and promptly notify us of unauthorized access. Some features, transactions, or connected services may impose additional age, authorization, or eligibility requirements.

Business owners control their Pazi business and may invite team members or grant agents access to business resources. Owners are responsible for those permissions and for actions authorized through their business.

2. The Service

Pazi provides AI-assisted tools for business planning and operations, including agents, conversations, files, schedules, integrations, generated content, websites, and advertising workflows. Features may be labeled beta, experimental, or preview and may change, be limited, or be discontinued.

We may update the Service to improve safety, reliability, functionality, or legal compliance. We do not promise that any particular feature, provider, model, or integration will remain available.

3. Your Content and Instructions

You retain ownership of information, prompts, files, instructions, business materials, credentials, and other content you submit or make available ("Customer Content"). You grant us a worldwide, non-exclusive, limited license to host, copy, transmit, process, modify, display, and otherwise use Customer Content only as needed to provide, secure, support, and improve the Service or comply with law.

You represent that you have all rights and permissions needed for Customer Content, your instructions, and the actions you ask Pazi to take. You are responsible for the accuracy, legality, and consequences of Customer Content and instructions.

Businesses created while your account is on the Free plan may be published in Pazi's public business showcase. The public showcase may include the business name, logo, description, website, advertising creative, and other brand assets automatically generated for that business. You grant Pazi permission to copy, format, and publicly display those materials for this purpose. When you start a paid Pro subscription, Pazi will remove your businesses from public access without deleting the stored showcase files. If the account later returns to Free, those businesses remain private unless you choose a future publication option. Accounts that accepted an earlier version of these Terms are not automatically added to the showcase.

4. AI and Automated Actions

AI outputs can be incomplete, inaccurate, offensive, or unsuitable. Similar inputs may produce similar outputs for different users. You must review outputs and proposed actions before relying on them, especially for legal, financial, medical, employment, safety, or other high-impact decisions. Pazi is not a substitute for qualified professional advice.

When you authorize an agent or automation to act, you are responsible for setting appropriate instructions, permissions, review steps, and limits. Confirmation or permission controls reduce risk but do not eliminate your responsibility for authorized actions.

5. Connected Services and Credentials

If you connect a third-party service or save credentials, you authorize Pazi to access and use that service on your behalf according to your instructions. You must have authority to connect the account and must comply with the third party's terms. Third-party services control their own availability, data use, and decisions, and Pazi is not responsible for their acts or omissions.

6. Acceptable Use

You may not use the Service to:

  • violate law, sanctions, export controls, or another person's rights;
  • deceive, defraud, impersonate, harass, exploit, or unlawfully discriminate;
  • create or distribute malware, spam, abusive content, or illegal goods or services;
  • circumvent access controls, probe systems without permission, or disrupt the Service;
  • collect, expose, or process personal or confidential information without a lawful basis;
  • reverse engineer or copy the Service except where applicable law prohibits that restriction; or
  • use Pazi for regulated or high-impact activity without required professional review, notices, approvals, and safeguards.

We may investigate suspected violations and remove content or restrict access when reasonably necessary to protect users, third parties, Pazi, or the public.

7. Subscriptions, Payments, and Funding

  • Paid plans renew automatically for the selected billing period until canceled through the available billing controls.
  • You authorize us and our payment processor to charge the applicable fees, taxes, and authorized plan changes.
  • Pazi funding, displayed in US dollars as Cash Balance, represents internal service usage. It is not currency, stored value, or property; it cannot be transferred, redeemed for cash, or refunded except where required by law or expressly stated.
  • Model, tool, agent, and advertising usage can consume funding from the same account balance at the rates shown in the Service.
  • Except where required by law, subscription fees and consumed funding are non-refundable. Canceling prevents future renewal but does not reverse prior usage.
  • Payout is separate from Cash Balance and represents eligible sales proceeds available for withdrawal, subject to payment-provider holds, refunds, disputes, fees, and applicable law.

8. Pazi-Funded Advertising

This section applies when you ask Pazi to prepare, publish, fund, manage, or report on advertising through a third-party advertising platform. The first supported platform is Meta.

Your Authorization

By starting a campaign, the business owner authorizes Pazi to submit, publish, fund, modify, pause, and manage the approved advertisement using Pazi-controlled advertising accounts, Facebook Pages, Instagram accounts, and payment methods. You represent that you have authority to advertise the business, destination, products, and services involved.

Your Advertising Responsibilities

  • You are responsible for the truth, substantiation, legality, rights, permissions, disclosures, targeting instructions, and landing pages associated with your advertisement.
  • You must comply with applicable advertising, consumer-protection, privacy, intellectual-property, industry, and regional laws.
  • You agree to comply with the Meta Commercial Terms, Meta Self-Serve Advertising Terms, the Meta Platform Terms, Meta Advertising Standards, and other applicable Meta terms and policies.
  • You must promptly cooperate with information requests, complaints, moderation, takedowns, corrections, and legally required advertiser, beneficiary, or payer disclosures.

Public Identity and Ad Visibility

Ads are published from the Facebook Page and Instagram identity shown in the Service. Ads are public information, may be re-shared or viewed outside the selected audience, and may appear in Meta's Ad Library or other transparency surfaces together with delivery, payer, advertiser, targeting, or spend information required by Meta or law.

Daily Funding Charges

The daily funding amount shown at launch or continuation is consumed for each funded delivery day when Pazi purchases advertising capacity for that day. The charge is not based on clicks, impressions, conversions, or final provider spend. Stopping, pausing, deleting, under-delivery, reporting revisions, or unused capacity does not create a refund. A technical reversal is available only when Pazi confirms that the associated provider capacity was not created because of a qualifying technical failure.

If your account lacks the next complete daily amount, Pazi may pause funding and delivery. Adding funding does not automatically restart a stopped or funding-paused campaign; an eligible owner must explicitly continue it.

No Guaranteed Advertising Results

Pazi and Meta do not guarantee approval, availability, placement, reach, impressions, clicks, leads, sales, return on spend, or any other result. Meta controls ad review, inventory, auction outcomes, delivery, measurement, and platform restrictions. Reported metrics may be delayed, estimated, or revised.

Pazi may reject, pause, modify, or remove advertising when reasonably needed for policy compliance, account safety, provider limits, legal risk, payment risk, or protection of shared publishing identities. Certain regulated, restricted, political, electoral, social-issue, housing, employment, financial-services, health, alcohol, gambling, adult, weapons, or drug advertising may be unavailable.

9. Pazi Intellectual Property

The Service, including its software, design, trademarks, documentation, and non-customer content, is owned by Pythagora and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. Feedback may be used without restriction or compensation.

10. Suspension, Termination, and Deletion

You may stop using Pazi, cancel a paid plan, or request account deletion through the available account controls. We may suspend or terminate access for a material breach, legal or security risk, nonpayment, harm to the Service or third parties, or discontinuation of the Service.

Deletion may require asynchronous cleanup of provider resources and does not reverse consumed funding. We may retain limited records required for security, fraud prevention, billing, accounting, dispute resolution, provider reconciliation, enforcement, and legal obligations as described in our Privacy Policy.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Pythagora disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant AI outputs, third-party services, business results, or advertising results.

12. Limitation of Liability

To the maximum extent permitted by law, Pythagora and its affiliates, officers, employees, agents, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunity, or business interruption, even if advised of the possibility.

Our total liability arising out of or relating to the Service or these Terms will not exceed the greater of $100 or the amount you paid Pythagora for the Service during the 12 months before the event giving rise to liability. Some jurisdictions do not allow certain exclusions or limits, so those limits apply only to the extent permitted by law.

13. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Pythagora and its affiliates, officers, employees, and agents from claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your Customer Content, instructions, products, advertising, connected services, violation of law, violation of these Terms, or infringement of another person's rights.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, unless applicable law requires another forum. Before filing a claim, each party agrees to provide written notice and attempt in good faith to resolve the dispute for 30 days.

15. General Terms

We may update these Terms. If a change is material, we will provide reasonable notice through the Service, by email, or by updating the effective date. Continued use after the change becomes effective constitutes acceptance.

These Terms and any referenced supplemental terms are the entire agreement about the Service. If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
